General Terms and Conditions of Sale – Phyt‑Inov SA

Preamble

These General Terms and Conditions of Sale (GTC) govern all sales concluded between:

    • Phyt‑Inov SA – a limited company registered in the Commercial Register of the Canton of Jura under number CH‑670.3.006.572‑8 and identified in the Swiss business register under number IDE/TVA CHE‑281.694.080. Its registered office is located at Les Oeuchattes 11, 2843 Châtillon (Jura, Switzerland). The company is active in the research and development of natural products and has a share capital of CHF 100,000. The director is Mr. Fabien Chételat.
    • Any natural or legal person wishing to make a purchase via the website www.phyt‑inov.com or by any other means. This person is hereinafter referred to as “the buyer.”

The parties agree that their relationship shall be governed exclusively by these GTC, as published on the site at the time of the order. The buyer declares that they have the legal capacity to enter into this contract and unreservedly accepts the GTC by checking the box provided for this purpose before validating their order. In accordance with French regulations on electronic commerce, the GTC must contain all essential information regarding the goods or services sold, prices, delivery methods, contract execution, payment, the right of withdrawal, warranties, and dispute resolution procedures.

Article 1 – Subject Matter

The purpose of these GTC is to define the rights and obligations of Phyt‑Inov SA and the buyer in the context of the online sale of natural products (food supplements, organic cosmetics, books) offered on the website www.phyt‑inov.com. Every order implies the buyer’s full and unreserved adherence to these GTC. Phyt‑Inov SA reserves the right to adapt or modify these conditions at any time; in such cases, the applicable GTC will be those in effect on the day of the order.

Article 3 – Products

Phyt‑Inov SA offers food supplements, organic and natural cosmetics, as well as health books. The essential characteristics of the products are described on the site. In accordance with Article L.111‑1 of the Consumer Code, the buyer may, prior to concluding the order, familiarize themselves with the essential characteristics of the product they intend to purchase.

The products offered comply with current regulations. They are intended to improve well-being and dietary balance and are not a substitute for medical treatment. The buyer is solely responsible for the choice of products and their suitability for their own needs. The information provided on the site constitutes neither medical advice nor a prescription and cannot replace consultation with a healthcare professional. Some products may contain alcohol (hydro-alcoholic extracts, flower elixirs). In accordance with legislation, the sale of alcohol to minors is prohibited; the buyer declares to be at least 18 years of age. Offers are valid while stocks last and may be modified at any time.

Article 4 – Prices and Delivery Costs

4.1 Selling Price

Product prices are indicated in euros including all taxes (VAT) for deliveries within the European Union. For deliveries outside the European Union, prices are displayed excluding tax (HT); customs duties, local taxes, or import duties may be required upon receipt of the package and remain the responsibility of the buyer. Phyt‑Inov SA reserves the right to modify its prices at any time; however, products will be invoiced based on the rates in effect at the time of order validation.

4.2 Delivery Costs and Options

For Metropolitan France:

    • Home delivery: shipping cost contribution of €4.30 per order, free for any order over €70 including tax.
    • Relay point delivery: shipping cost contribution of €3.50, free for purchases of €70 or more including tax. The choice of relay point is offered during order validation.

For other destinations, shipping costs are calculated based on the order amount:

Deliveries are carried out by Colissimo (La Poste), ensuring reliable and fast delivery.

4.3 Shipping and Delivery Times

Orders are prepared and shipped within an indicative period of 24 to 48 business hours from order validation, subject to product availability.

A tracking number is communicated to the buyer by email as soon as the order is shipped.

In the event of a delivery delay beyond the control of Phyt Inov SA, particularly due to the carrier, the buyer will be informed as soon as possible.

In accordance with the legal provisions applicable when the buyer acts as a consumer, if delivery does not occur within thirty (30) days of the order, the buyer may terminate the contract under the conditions provided by law and obtain a refund of the sums paid.

Article 5 – Ordering

The buyer must create a customer account on the site, fill their basket, and validate their order after checking the summary (products, quantities, price, shipping costs). Validation of the order entails the obligation to pay. Phyt‑Inov SA reserves the right to refuse or cancel any order for legitimate reasons (anomaly, bad faith, stock shortage, previous non-payment, etc.).

Article 6 – Payment Terms

The price is due upon ordering. The accepted methods of payment are as follows:

    • Bank card (Visa, MasterCard); the transaction is carried out via a secure payment interface operated by the Banque Populaire de Franche‑Comté, our French banking institution, in order to avoid fees related to our domicile outside the European Union;
    • Bank transfer; bank details will be communicated upon order validation. The order will be shipped after the funds have been effectively credited;
    • Check, denominated in euros made payable to Phyt‑Inov SA to be sent to the address: Phyt-Inov SA, Les Oeuchattes 11, 2843 CHATILLON SWITZERLAND; the order will be sent after receipt and clearing of the check;
    • PayPal, with a flat-rate surcharge of €3 for banking fees due to exchange. The buyer must have a valid PayPal account.

Payments are made in euros regardless of the currency of the delivery country. Banking transactions are secured by an SSL protocol. Phyt‑Inov SA does not have access to the buyer’s banking data.

Article 7 – Right of Withdrawal and Returns

In accordance with the Consumer Code, the buyer has a withdrawal period of 14 days from receipt of the product to return it, at their own expense, without having to justify a reason. The buyer may withdraw by contacting customer service by email (contact@phyt‑inov.com) or by telephone before returning the package.

Products must be returned complete, unopened, and in their original packaging in perfect condition to the following address: BIOMAXI/PHYT‑INOV – 14B Faubourg de Montbéliard, FR‑90100 Delle. A copy of the invoice must be attached. Products that have been opened, soiled, damaged, or are incomplete will not be taken back or refunded. The buyer is free to choose the return method (registered Colissimo), but they bear the costs and risks associated with transport.

Refunds for compliant products will be made no later than fourteen (14) days from the notification of the withdrawal decision; Phyt Inov SA may defer the refund until the products are recovered or until the buyer provides proof of shipment to the return address indicated above, via the same payment method used during the purchase. In the event of abusive returns, Phyt‑Inov SA reserves the right to refuse any subsequent order.

Article 8 – Delivery

Products are delivered to the address indicated by the buyer during the ordering process.

Shipments are made by default with delivery against signature, this delivery method being included in the shipping costs indicated during the order.

The buyer may, however, at their express request, choose delivery without signature by specifying this during the order.

In this case, the buyer expressly acknowledges that this choice entails the absence of proof of personal delivery of the package and accepts that the transfer of risks occurs when the package is made available by the carrier, as evidenced by the delivery tracking.

When the buyer acts as a consumer, this early transfer of risks results from their personal choice of a delivery method different from that proposed by Phyt-Inov SA and is carried out in accordance with applicable legal provisions.

In the absence of an express choice for delivery without signature, the transfer of risks occurs at the moment when the buyer or a third party designated by them takes physical possession of the products.

The buyer is required to check the condition of the packages upon receipt and to report any anomaly within a reasonable timeframe.

Article 9 – Transfer of Ownership – Retention of Title

Phyt‑Inov SA remains the owner of the products sold until full payment of the price. This retention of title does not prevent the transfer of risks to the buyer upon receipt or taking possession of the products.

Article 10 – Warranties and Liability

The products benefit from applicable legal warranties, and in particular, when the buyer acts as a consumer, the legal warranty of conformity and the warranty against hidden defects, in accordance with current legal provisions.

To invoke a warranty, the buyer must notify Phyt Inov SA in writing and return the product concerned according to the procedures communicated by customer service.

Phyt Inov SA cannot be held responsible for damage resulting from improper use of the products or failure to follow the recommendations for use.

Phyt Inov SA’s liability cannot be engaged for indirect or immaterial damages, within the limits authorized by law.

Phyt Inov SA cannot be held responsible for non-compliance with the legislation of the delivery country; it is the buyer’s responsibility to check the compliance of the products with the regulations applicable in their country.

Article 11 – Intellectual Property

All elements of the website www.phyt‑inov.com (texts, images, logos, videos, etc.) are the exclusive property of Phyt‑Inov SA or its partners and are protected by copyright and intellectual property law. Any reproduction, representation, distribution, or use, even partial, of the site’s elements is strictly prohibited without prior authorization.

Article 12 – Personal Data

Phyt‑Inov SA collects personal data necessary for processing orders and improving the services offered. The company undertakes to comply with the General Data Protection Regulation (GDPR) and the Swiss Data Protection Act. The information collected is confidential and will not be transmitted to unauthorized third parties. The buyer has a right of access, rectification, and deletion of data concerning them, which they can exercise by writing to contact@phyt‑inov.com. The detailed privacy policy is available on the site.

Article 13 – Mediation, Applicable Law, and Jurisdiction

In the event of a dispute, the buyer is invited to contact Phyt Inov SA as a priority in order to seek an amicable solution.

In accordance with the provisions applicable to consumer mediation, a consumer buyer residing in the European Union may resort free of charge to a competent consumer mediator, referenced in accordance with the legal requirements in force in their country of residence. Information regarding the competent mediator is available upon request or via the professional’s website.

These general terms and conditions of sale are subject to Swiss law.

However, when the buyer acts as a consumer and resides in a member state of the European Union, they also benefit from the mandatory consumer protection provisions provided by the law of their country of residence, when these are more favorable to them.

In the event of a dispute and in the absence of an amicable resolution, the courts of the canton of Jura (Switzerland) shall have jurisdiction.
This attribution of jurisdiction does not, however, deprive the consumer residing in the European Union of the right to bring the matter before the competent courts of their place of residence, in accordance with applicable European regulations.

Article 14 – Promotional Programs

Phyt‑Inov SA may occasionally offer promotional offers. The conditions applicable to these offers will be detailed on the corresponding page of the site. Any promotion is valid during the period indicated and while stocks last. Promotional codes cannot be combined with each other.
